Terms of Service

These Terms of Service ("Terms") are an agreement between you and Neuston AB, a company registered in Sweden ("Neuston", "we", "us"). They apply when you use Donvi, including our website, app and related services (the "Service"). By creating an account or using the Service, you agree to these Terms. If you don't agree, please don't use Donvi.

If you use Donvi on behalf of a company or other organization, you confirm that you are allowed to accept these Terms for it. In that case "you" also means that organization.

1. The Service

Donvi lets you give tasks to AI agents. Each agent session gets its own cloud computer, where the agent can run programs, browse the web, work with files and, if you allow it, use services you have connected such as Gmail, Google Calendar, GitHub or Wint.

Donvi is in early access. We are improving it all the time, so features may change, be added or be removed. We will try to tell you in advance about changes that significantly affect you.

2. Who can use Donvi

You must be at least 18 years old, and Donvi is meant for professional and business use. During early access we may limit who can sign up.

3. Your account

• Give us accurate information and keep it up to date.
• Keep your password safe. You are responsible for everything that happens in your account.
• Tell us right away at jonas@neuston.io if you think someone else has accessed your account.

4. Organizations

You use Donvi inside an organization (a shared workspace). The person who creates an organization becomes its owner. Owners and admins can manage members, settings and credits. Members can see sessions, skills and other content that is shared with the organization. Private sessions are visible only to the person who created them. The organization is responsible for who it invites and for what its members do in Donvi.

5. AI agents and your responsibility

Please read this section carefully.

• Agents act on your instructions. You are responsible for the tasks you give agents and for the actions you approve, such as changes in connected services.
• AI can be wrong. Agents can misunderstand instructions, make mistakes or produce content that is inaccurate, incomplete or offensive. Review their work before you rely on it, especially for legal, financial, medical, security or other important decisions.
• Approvals matter. Donvi asks for your approval before agents take certain actions. Read what you approve. Once an action has been carried out in an external system, we may not be able to undo it.
• Keep your own copies. A session's cloud computer and its files are deleted when the session is deleted. Donvi is not a backup service, so save anything important somewhere else.

6. Acceptable use

You may not use Donvi, or let agents be used, to:

• break any law or anyone else's rights, including privacy and intellectual property rights;
• access systems, accounts or data you are not authorized to access, or test security without permission;
• send spam, run scams, spread malware or harm other people;
• create content that sexually exploits children, promotes violence or terrorism, or harasses others;
• mine cryptocurrency, attack networks, or use the cloud computers in ways that overload or harm our systems or others';
• get around usage limits, billing or security measures, or access another organization's data;
• break the usage policies of the AI model providers or connected services you use through Donvi.

If you break these rules, we may stop agents, suspend your account or remove content. Where it is reasonable, we will tell you first.

7. Your content

• You own your content. This includes what you put into Donvi and, as between you and us, what your agents produce for you ("output").
• Permission to run the Service. You give us permission to store, process and send your content only as needed to provide, secure and support the Service. This includes sending it to AI model providers and cloud computer providers, as described in our Privacy Policy.
• No AI training. We do not use your content to train AI models.
• Your rights to content. You confirm that you have the right to use the content and data you give to Donvi, including any personal data about other people.

AI output may not be unique. Other users may receive similar output, and we cannot promise that output doesn't infringe anyone's rights.

8. Connected services and third parties

When you connect services like Google, GitHub or Wint, or use AI models from third-party providers, those services' own terms also apply. We are not responsible for third-party services, how they work or whether they are available. You can disconnect a service at any time.

9. Credits, prices and payment

• Prepaid credits. Donvi uses a prepaid credit balance for each organization. Usage of AI models and cloud computers is deducted from the balance as your agents work.
• Prices. Current prices, including our platform fee, are shown on our website and in the app. We may change prices. Changes will not affect credits you have already bought, and we will announce significant changes in advance.
• Running out. When the balance runs out, agents may stop. You are responsible for keeping enough credits for your work.
• Refunds. Credits are not refundable, except where the law requires it or where we end your access without you having broken these Terms. In those cases we refund your unused balance.
• Taxes. Prices do not include VAT or other taxes unless stated otherwise.

10. Our intellectual property

Donvi, including its software, design and brand, belongs to Neuston AB. We give you a personal, non-transferable right to use the Service under these Terms. Don't copy, resell or reverse engineer it, except where the law allows. If you send us feedback, we may use it freely to improve Donvi.

11. Availability

We work hard to keep Donvi running, but we can't promise it will always be available or free of errors. We may need to pause the Service for maintenance, security or reasons outside our control, such as outages at our providers.

12. Ending your use

• You can stop using Donvi at any time. To delete your account, email us at jonas@neuston.io.
• We may suspend or close your account if you seriously or repeatedly break these Terms, if the law requires it, or to protect Donvi, our users or others. We may also stop offering the Service. In that case we will give you at least 30 days' notice where possible, so you can save your content.
• When your account is closed, your right to use the Service ends and we delete your data as described in our Privacy Policy.

13. Disclaimers

The Service is provided "as is" and "as available". To the extent the law allows, we make no promises beyond those in these Terms, including about fitness for a particular purpose or the accuracy of AI output.

14. Limitation of liability

To the extent the law allows:

• We are not liable for indirect or consequential losses, such as lost profits, lost revenue, lost data or business interruption.
• We are not liable for the results of actions agents take on your instructions or with your approval.
• Our total liability to you is limited to the amount you paid us in the 12 months before the event that caused the claim.

These limits don't apply to losses caused by our gross negligence or intent, or where the law does not allow liability to be limited.

15. Your responsibility to us

If someone makes a claim against us because of your content or because you or your agents broke these Terms or the law, you will cover our reasonable costs and losses from that claim.

16. Changes to these Terms

We may update these Terms. If the changes are significant, we will tell you by email or in the app at least 30 days before they take effect. If you keep using Donvi after that, you accept the new Terms. If you don't agree, you can stop using Donvi before the changes take effect.

17. Law and disputes

These Terms are governed by Swedish law. If we have a disagreement, let's first try to solve it by talking to each other. If we can't, the dispute will be settled by Swedish courts. If you are a consumer, you keep any rights you have under the mandatory consumer laws of the country where you live.

18. Other terms

• These Terms and our Privacy Policy are the whole agreement between you and us about Donvi.
• If one part of these Terms is invalid, the rest still applies.
• If we don't enforce a right straight away, we haven't given it up.
• You may not transfer these Terms to someone else without our permission. We may transfer them in connection with a merger or sale of our business.
